These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Veridian Reception ("Company," "we," "our," or "us"), regarding your use of our AI automation services, including but not limited to AI receptionist services, email automation, website chatbots, SMS automation, and website development services.

By accessing our website, using our services, or entering into a service agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

Important: These Terms may be updated from time to time. Continued use of our services following any changes constitutes acceptance of the new Terms.

Service Description

Veridian Reception provides AI-powered automation solutions for businesses, including:

AI Receptionist Services:

24/7 call handling, appointment booking, lead capture, and customer inquiry management

Email Automation:

Automated email campaigns, confirmations, reminders, and follow-up sequences

Website Chatbots:

Intelligent website chat systems for lead qualification and customer support

SMS Automation:

Automated text messaging for reminders, notifications, and communications

Website Development:

Professional website creation, redesign, and development services

Integration Services:

Custom AI implementations and business system integrations

Account and Access

Account Creation

To access our services, you may be required to create an account or enter into a service agreement. You must provide accurate, current, and complete information and maintain the accuracy of your account information.

Account Security

You are responsible for maintaining the confidentiality of your account credentials
You must notify us immediately of any unauthorized access or security breach
You are liable for all activities that occur under your account

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. If you are using our services on behalf of a business, you represent that you have the authority to bind that entity to these Terms.

Payment Terms

Pricing and Fees

• Setup fees and monthly retainer rates are discussed during consultation

• All pricing is subject to the agreed service contract

• Additional services may incur separate charges

• Prices may change with 30 days' written notice

Payment Schedule

• Setup fees are due upon service initiation

• Monthly retainers are billed in advance

• Invoices are due within 30 days of receipt

• Late payments may incur additional fees

Refund Policy

Setup fees are non-refundable once work has commenced. Monthly retainer refunds are handled on a case-by-case basis according to the service agreement. Demo services are provided free of charge.

Acceptable Use Policy

You agree to use our services in compliance with all applicable laws and regulations. You shall NOT use our services to:

Violate any applicable laws or regulations
Send spam, unsolicited, or illegal communications
Engage in fraudulent or deceptive practices
Harass, threaten, or harm others
Infringe intellectual property rights
Distribute malware or harmful content
Attempt to breach our systems or security
Use services for illegal or unethical purposes

Violation of this policy may result in immediate service suspension or termination without refund.

Service Availability and Maintenance

Service Uptime

• We strive for 99.9% uptime for our AI services

• Scheduled maintenance will be announced in advance

• Emergency maintenance may occur without notice

• Downtime due to third-party services is beyond our control

Service Modifications

• We may modify or discontinue services with notice

• Updates and improvements are made regularly

• Feature changes will be communicated to customers

• Legacy features may be deprecated with transition periods

Service Credits: In case of extended downtime exceeding our SLA, service credits may be provided as outlined in your service agreement.

Intellectual Property Rights

All rights, title, and interest in our services, technology, software, and related materials remain the exclusive property of Veridian Reception. This includes:

AI algorithms and training models
Software and applications
Trademarks and branding
Documentation and materials

Your Content and Data

You retain ownership of your business data, customer information, and content provided to us. However, you grant us a limited license to:

Use your data to provide and improve our services
Train AI systems for your specific business needs
Create backups and ensure service continuity

Your privacy and data protection are governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points include:

Disclaimers and Warranties

Service Performance

• We strive to provide high-quality AI services but cannot guarantee perfect performance

• AI responses may occasionally be inaccurate or inappropriate

• Service availability may be affected by technical issues or maintenance

• Third-party integrations may impact service functionality

AI Technology Limitations

• AI systems are not perfect and may make errors

• Customer should review and approve AI responses for their business

• Complex or unusual scenarios may require human intervention

• Continuous training and improvements are ongoing

Limitation of Liability

LIMITATION OF LIABILITY CLAUSE

To the maximum extent permitted by law:

Veridian Reception shall not be liable for any indirect, incidental, special, consequential, or punitive damages
Our total liability shall not exceed the amount paid by you for services in the 12 months preceding the claim
We are not liable for losses due to third-party services, force majeure, or customer misuse
We are not responsible for business decisions made based on AI recommendations

Note: Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you. This limitation applies to the fullest extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Veridian Reception, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, or expenses arising from:

Your use or misuse of our services
Your violation of these Terms or applicable laws
Your content or data that infringes third-party rights
Any negligent acts or omissions in connection with the services

Termination

Termination by Customer

• 30-day written notice required for service termination

• Outstanding invoices must be paid in full

• Data export options available before termination

• Refunds handled according to service agreement

Termination by Veridian

• Immediate termination for Terms violations

• 30-day notice for non-payment issues

• Service discontinuation with reasonable notice

• Data retention according to privacy policy

Effect of Termination

Upon termination, your access to services will cease, outstanding payments become due, and we will securely delete or return your data according to the agreed retention period and applicable laws.

Governing Law and Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Colorado and the United States, without regard to conflict of law principles.

Jurisdiction

Any disputes arising from these Terms shall be resolved in the state or federal courts located in Colorado, and you consent to personal jurisdiction in such courts.
